John Needham


John is a senior lawyer with wide ranging commercial experience and strong business acumen.  Having practised at firms including Linklaters and Hogan Lovells, John moved in-house where he held leadership positions as General Counsel/Head of Legal over a nineteen-year period at Balfour Beatty Infrastructure Investments, Serco and recently John Laing Group plc.  As such, John has unparalleled insight into what best practice legal advice looks like from the clients’ perspective, and he takes a very pragmatic approach to achieving successful business orientated outcomes.

His core experience includes multi-jurisdictional project finance and PFI/PPP (including Europe, North America, Australia, and South America), infrastructure and renewable energy investment and management, distressed asset situations and conflict resolution, risk management, commercial management, governance and ethics, M&A, joint-ventures, shareholders agreements, banking and facility agreements, business process outsourcing, and public sector support services.


  • Negotiating numerous Memoranda of Understandings, Joint-Venture Agreements and Shareholder/Investment Agreements in the context of substantial infrastructure investments.

  • Co-developing the ownership and control structure for the acquisition of two fibre network businesses in Germany, reviewing the due diligence and participating in the settlement of the sale and purchase documentation.

  • Advising on the resolution of a potential partnering dispute in respect of a biomass power plant project.

  • Drafting and negotiating Non-Disclosure/Confidentiality Agreements, Consultant and Adviser appointments and Management Services Agreements.

  • Developing bespoke in-house standard form contracts and associated guidance notes and training, including devising a new Anti-Trust/Competition Compliance Manual.
